AICODE PROPRIETARY & BUSINESS LICENSE Copyright (c) 2026 AI Sovereign Labs (AI Sovereign Labs SASU, Paris, France). All rights reserved. This License is entered into between the Licensee and AI Sovereign Labs SASU, a French simplified joint-stock company registered in Paris, France. No personal liability is assumed by any individual associated with AI Sovereign Labs SASU beyond the assets of the company. 1. OWNERSHIP AND INTELLECTUAL PROPERTY The Software (AICode) and its source code, including but not limited to the "5D Indexing" algorithms, the orchestration logic, and specialized system instructions, are the exclusive property of AI Sovereign Labs SASU (Paris, France). The Software is protected by international copyright laws and French INPI eSoleau deposit n° DSO2026012803. 2. CONTRIBUTIONS AND FEEDBACK Any suggestions, enhancement requests, recommendations, or other feedback provided by the Licensee or any Third Party relating to the Software shall not grant the Licensee any ownership or intellectual property rights over the Software or its evolutions. All such improvements, even if requested or funded by the Licensee, shall remain the sole and exclusive property of AI Sovereign Labs SASU. The Licensee hereby assigns to AI Sovereign Labs SASU, without additional compensation, all rights, titles, and interests in any such modifications or feedback. 3. LICENSE GRANTS Subject to the terms of this License, AI Sovereign Labs grants you a limited, non-exclusive, non-transferable license to use the Software under the following conditions: A. EVALUATION USE You may use the Software free of charge for a period of thirty (30) days from the date of first installation for evaluation purposes. B. FREE USE You are granted a free license if you meet one of the following criteria: B.1. Individual professional, or organization with fewer than ten (10) paid employees or registered volunteers, calculated at the level of the global legal entity (including all subsidiaries, parent companies, and affiliated entities sharing the same ultimate beneficial owner). B.2. Student, teacher, or researcher at an accredited educational institution. B.3. Member of a registered non-profit organization. This license remains valid for qualifying users subject to continued compliance with the terms of this License and any future modifications published under Section 9. C. COMMERCIAL USE Organizations with ten (10) or more paid employees or registered volunteers, calculated at the level of the global legal entity (including all subsidiaries, parent companies, and affiliated entities sharing the same ultimate beneficial owner), must obtain a paid commercial license after the 30-day evaluation period. Current pricing is available at: https://ai-code.ai 4. RESTRICTIONS You may not: 4.1. Sell, rent, lease, sublicense, or redistribute the Software. 4.2. Decompile, reverse engineer, disassemble, observe, or analyze the Software's behavior, architecture, or output for the purpose of creating a competing product, derivative work, or training an artificial intelligence model. 4.3. Wrap the Software in a web service or provide it as a hosted service to third parties. 4.4. Use the Software's outputs, generated specifications, patches, or analyses to train, fine-tune, or benchmark any artificial intelligence model without prior written consent from AI Sovereign Labs. 4.5. Use the Software to design, develop, train, or improve any AI coding assistant, AI coding agent, or any software whose primary purpose is to assist developers in writing, editing, reviewing, or generating code using artificial intelligence, without prior written consent from AI Sovereign Labs. 4.6. Use the Software through a third party, agent, or automated system in order to circumvent the licensing requirements of Section 2C. 4.7. Use any technique, including but not limited to prompt injection, adversarial prompting, automated probing, or systematic observation of outputs, to extract, reconstruct, or approximate the Software's system instructions, internal orchestration logic, prompt architecture, or any proprietary methodology embedded in the Software. Any breach of the restrictions set forth in this Section 4 shall result in the immediate termination of this License and may give rise to legal action, including claims for damages and injunctive or other equitable relief. 5. DATA SOVEREIGNTY AND LIABILITY The Software is provided "as is" without warranty of any kind. Sovereignty: AI Sovereign Labs does not operate any intermediate server. No codebase data is transmitted to AI Sovereign Labs infrastructure. The Software connects directly to the model provider designated by the user. Automated Execution: When using batch or automated features of the Software, you acknowledge that code may be generated and proposed without manual review of each individual change. You are solely responsible for reviewing, testing, and validating all outputs before applying them to any production environment. Intellectual Property: AICode does not provide intellectual property indemnification for AI-generated outputs. The Software operates exclusively with third-party AI model providers designated and configured by the user (BYOK). Any intellectual property claims arising from AI-generated outputs are governed solely by the terms of the user's agreement with their chosen model provider. Liability: THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL AI SOVEREIGN LABS OR ITS AUTHORS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE. IN ALL CASES, THE TOTAL LIABILITY OF AI SOVEREIGN LABS SHALL NOT EXCEED THE AMOUNTS PAID BY THE LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR FREE OR EVALUATION USERS, THIS LIMIT IS ONE EURO (€1). 6. DATA AND OUTPUTS OWNERSHIP All code, specifications, analyses, patches, and other outputs generated by the Software during its use remain the exclusive property of the user who initiated the generation. AI Sovereign Labs claims no rights over user-generated outputs. The user is solely responsible for verifying the accuracy and legal compliance of any output before use in production. 7. TERMINATION This license terminates automatically if you fail to comply with its terms. For payment obligations under Section 2C, AI Sovereign Labs will provide written notice of non-compliance. If the breach is not remedied within thirty (30) days of such notice, the license terminates immediately. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession. 8. AUDIT AND COMPLIANCE VERIFICATION AI Sovereign Labs reserves the right to request, no more than once per calendar year, a written certification signed by a legal representative or officer of the Licensee, confirming that the Software is being used in compliance with the number of licenses purchased and the terms of Section 2. The Licensee shall provide such certification within thirty (30) days of the request. 9. GOVERNING LAW AND JURISDICTION This License shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with this License shall be subject to the exclusive jurisdiction of the courts of Paris, France. 10. ENTIRE AGREEMENT This License constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, or warranties, unless superseded by a separate written agreement signed by both parties. 11. MODIFICATIONS TO THIS LICENSE These terms apply to all versions of the Software. AI Sovereign Labs reserves the right to modify this License at any time. Current terms are always available at https://ai-code.ai. Installation or continued use of the Software constitutes acceptance of the current terms.
